1. Acceptance of Terms

By installing, accessing, or using Address Guardian (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App. These Terms constitute a legally binding agreement between you ("Merchant" or "you") and SunnyApps.de ("we", "us", or "our"). By continuing to use Address Guardian after any modifications to these Terms, you accept the updated Terms in full.

2. Description of Service

Address Guardian is a Shopify application that validates shipping addresses using the Loqate address verification API. The App provides the following features:

• Real-time shipping address validation at checkout
• Automatic order tagging based on address quality
• Email address validation
• Address suggestions and autocomplete
• Merchant dashboard with usage analytics
• Configurable validation rules and responses

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice. Address verification results are provided on a best-effort basis and depend on the accuracy and completeness of the data submitted.

3. Account & Shopify Integration

Use of Address Guardian requires an active Shopify merchant account in good standing. The App is installed and operated through the Shopify platform. By installing the App, you grant Address Guardian access to your Shopify store data via the Shopify API, limited to the permissions you explicitly approve during the installation process. These permissions may include access to orders, customers, and checkout data as necessary to provide the service. You are responsible for maintaining the security of your Shopify account and for all activity that occurs under it. We are not responsible for any loss resulting from unauthorized access to your account.

4. Usage & API Calls

Each Address Guardian plan includes a monthly allocation of API calls. The free tier includes 500 API calls per calendar month. Once your monthly allocation is exhausted, additional validation calls are billed at $0.06 USD per call. Your current usage, remaining allocation, and overage charges are tracked and visible in the merchant dashboard within the App.

API call counts reset at the start of each calendar month. Unused calls from one month do not carry over to the next. We reserve the right to adjust pricing for additional API calls with 30 days' prior notice.

5. Payment Terms

All charges for Address Guardian are billed through Shopify's billing system in accordance with Shopify's billing policies. Subscription fees and any overage charges will appear on your Shopify invoice. By installing the App and approving any applicable charges within Shopify, you authorize us to collect payment through the Shopify billing mechanism.

All fees are non-refundable. We do not offer refunds or credits for partial months of service, unused API calls, or periods during which the App was installed but not actively used. If you believe a billing error has occurred, please contact us within 30 days of the charge.

6. Acceptable Use Policy

You agree to use Address Guardian only for lawful purposes and in accordance with these Terms. You must not:

• Use the App for any unlawful, fraudulent, or abusive purpose
• Attempt to reverse-engineer, decompile, or disassemble the App
• Resell, sublicense, or redistribute access to the App or its underlying API without our prior written consent
• Deliberately exceed rate limits or attempt to circumvent usage restrictions
• Submit false, misleading, or fabricated data through the App for the purpose of manipulating results
• Use the App in any way that could damage, disable, or impair our servers, infrastructure, or the experience of other users

Violation of this policy may result in immediate suspension or termination of your access to the App.

7. Data Processing & Privacy

We process personal data as described in our Privacy Policy, which is incorporated into these Terms by reference. In the context of providing address validation services, we act as a data processor on your behalf, and you act as the data controller for your customers' personal data.

You are solely responsible for ensuring that you have obtained any required consents from your customers for the collection and processing of their personal data, including shipping addresses, in accordance with applicable data protection laws (including, where applicable, the EU General Data Protection Regulation (GDPR)). You must ensure that your store's privacy policy accurately reflects any data processing carried out through Address Guardian.

8. Intellectual Property

Address Guardian, including all software, design, trademarks, trade names, and related documentation, is the exclusive intellectual property of SunnyApps.de. All rights not expressly granted in these Terms are reserved.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for the purpose of validating addresses in connection with your Shopify store. This license does not permit you to copy, modify, distribute, sell, or sublicense any part of the App.

9. Disclaimers & Limitations of Liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that Address Guardian will be error-free, uninterrupted, or that address validation results will be 100% accurate. Address data is subject to the accuracy of third-party sources, including the Loqate API and underlying reference databases, which we do not control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless SunnyApps.de and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any data or content you submit through the App.

11. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling Address Guardian from your Shopify store. We may suspend or terminate your access to the App immediately and without prior notice if you violate these Terms, engage in fraudulent activity, or if required to do so by law or Shopify's platform policies.

Upon termination, your right to use the App ceases immediately. Any personal data associated with your account and store, including processed address data, will be permanently deleted from our systems within 30 days of the date of termination, unless we are required by law to retain it for a longer period. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitations of liability — shall survive.

12. Governing Law

These Terms and any disputes arising out of or relating to them or the App shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in [Court Location], Germany, and you hereby consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least 30 days' prior notice by sending an email to the address associated with your Shopify account and/or displaying a notice within the App dashboard. The updated Terms will indicate the date of the most recent revision at the top of this page.

Your continued installation or use of Address Guardian after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must uninstall the App before the changes take effect.
